1. Eligibility and Account

You must provide accurate, complete, and current information when creating and maintaining your FlowAfric account.

You are responsible for:

• Maintaining the confidentiality of your login credentials, PINs, authentication methods, and devices
• Keeping your account information accurate and up to date
• Taking reasonable steps to prevent unauthorized access to your account
• Immediately notifying FlowAfric if you suspect unauthorized access, fraud, or compromise of your account

You must not create an account using another person's identity or information, impersonate another person or entity, or provide false or misleading information.

FlowAfric may require identity verification before allowing access to certain services or transaction limits.

2. Wallet and Financial Services

FlowAfric provides access to wallet and payment-related functionality through its platform and, where applicable, in partnership with regulated financial institutions and service providers.

Depending on your eligibility and the services available to you, you may be able to:

• Deposit funds into your FlowAfric wallet
• Hold wallet balances
• Transfer funds to other FlowAfric users
• Make payments to participating merchants
• Pay for available FlowAfric services
• Withdraw eligible funds to supported external Nigerian bank accounts

Wallet functionality, transaction limits, availability, and eligibility may depend on your verification level, applicable regulations, partner requirements, and FlowAfric's internal risk and compliance controls.

FlowAfric is not a bank unless expressly stated otherwise. Certain financial services available through the platform may be provided, processed, or settled by regulated third-party financial institutions or payment partners.

3. Deposits, Transfers and Withdrawals

Users are responsible for reviewing transaction details before confirming a transaction.

Transactions may be delayed, rejected, reversed, restricted, or placed under review where reasonably necessary because of:

• Incorrect or incomplete transaction information
• Insufficient funds
• Technical or network issues
• Fraud or security concerns
• Compliance or regulatory requirements
• Third-party financial institution or payment-provider requirements
• Suspicious or unusual activity
• Other circumstances permitted by applicable law

Withdrawals to external bank accounts are subject to supported banks, transaction limits, verification requirements, applicable fees, and the availability of the relevant banking or payment infrastructure.

Once a transaction has been submitted, cancellation or reversal may not always be possible.

4. Fees

FlowAfric may charge fees for transactions and platform services, including but not limited to:

• Deposits
• Withdrawals
• Transfers
• Merchant transactions
• Subscriptions
• Communication services
• Cryptocurrency-related services
• Other services introduced by FlowAfric

Applicable fees will be displayed through the FlowAfric platform where reasonably practicable before a transaction or paid service is confirmed.

Fees may change from time to time. Continued use of a service after applicable fees have been updated constitutes acceptance of the applicable fees.

5. Identity Verification and Compliance

To provide financial services, prevent fraud, and comply with applicable laws and regulatory requirements, FlowAfric may require users to complete identity and compliance checks.

Verification may include, where applicable:

• BVN verification
• NIN verification
• Address verification
• Liveness verification
• Anti-money laundering (AML) screening
• Sanctions screening
• Fraud and security checks
• Source-of-funds or source-of-wealth checks
• Other verification procedures required by FlowAfric, its financial partners, or applicable law

Identity information may be verified through third-party providers and regulated financial partners.

FlowAfric may restrict, suspend, delay, review, or reject transactions or accounts where required or reasonably necessary for fraud prevention, security, compliance, or legal and regulatory purposes.

6. Communication Services

FlowAfric may provide application-to-application communication features, including:

• Voice calls
• Video calls
• Text messaging
• Voice notes
• Images
• Videos
• Other supported media

These communication services operate over internet connectivity and may depend on network conditions, device capabilities, and third-party infrastructure.

FlowAfric does not provide PSTN calling, SMS gateway services, or USSD services through the platform.

Where supported by the relevant FlowAfric service, communications may use end-to-end encryption or other security technologies designed to protect user communications.

Users are responsible for lawful and appropriate use of communication features.

7. Subscriptions

FlowAfric may offer subscription plans for certain services.

Subscription fees may be deducted from an eligible FlowAfric wallet balance or another payment method made available by FlowAfric.

Where a subscription is configured to renew automatically, it may renew until canceled in accordance with the applicable subscription terms.

Users are responsible for maintaining sufficient funds or a valid payment method for subscription renewals.

Subscription-specific pricing, billing periods, cancellation rules, and applicable benefits may be displayed within the FlowAfric platform.

8. FlowHub and Merchant Services

FlowAfric may provide FlowHub, a marketplace through which users may discover and interact with participating merchants.

Merchant transactions may be subject to separate Merchant Terms & Conditions and additional marketplace rules.

Merchants are responsible for the products and services they list or provide, including their legality, quality, availability, pricing, delivery, and fulfillment.

FlowAfric may provide transaction, payment, dispute, or escrow functionality for eligible marketplace transactions.

Where escrow is available, funds may be temporarily held and released according to the applicable transaction conditions, platform rules, dispute process, and compliance requirements.

FlowAfric does not guarantee the quality, legality, availability, accuracy, or fulfillment of products or services provided by independent merchants.

9. User Content and Acceptable Use

Users are responsible for information, messages, media, listings, and other content they submit, upload, transmit, or make available through FlowAfric.

Users must not use FlowAfric to:

• Conduct fraudulent or deceptive activities
• Impersonate another person or entity
• Use stolen or unauthorized payment credentials
• Facilitate money laundering or terrorist financing
• Conduct unlawful transactions
• Distribute illegal or prohibited content
• Harass, threaten, abuse, or defraud other users
• Distribute malware or malicious software
• Attempt to gain unauthorized access to FlowAfric systems
• Interfere with or disrupt the platform
• Circumvent security, verification, transaction, or account controls
• Use FlowAfric for activities prohibited by applicable law

FlowAfric may remove content, restrict functionality, or take other appropriate action where it reasonably believes these Terms, applicable laws, or platform policies have been violated.

10. Cryptocurrency Services

FlowAfric may provide cryptocurrency-related services, including supported digital asset wallets, transfers, deposits, withdrawals, and peer-to-peer transactions.

Cryptocurrency services are subject to the separate Crypto Services Terms, which form part of the terms applicable to users who access those services.

Cryptocurrency services may be subject to additional verification, transaction monitoring, wallet screening, AML controls, regulatory requirements, blockchain network conditions, and applicable laws.

FlowAfric does not provide investment, tax, or legal advice.

Nothing on the FlowAfric platform should be interpreted as a guarantee of profit or as a recommendation to purchase, sell, or hold a particular digital asset.

11. Transaction Monitoring and Security

FlowAfric may monitor transactions, account activity, communications metadata, and other relevant activity to:

• Prevent fraud
• Protect users
• Detect suspicious activity
• Maintain platform security
• Investigate abuse
• Meet legal and regulatory obligations

FlowAfric may temporarily restrict access to funds, services, or accounts while investigating suspected fraud, security incidents, suspicious activity, or compliance concerns, to the extent permitted by applicable law.

12. Account Suspension and Termination

FlowAfric may restrict, suspend, or terminate an account where reasonably necessary because of:

• Fraud or suspected fraud
• Money laundering or other financial crime concerns
• Sanctions or regulatory concerns
• Violation of these Terms
• Violation of applicable law
• False or misleading information
• Unauthorized or abusive use of the platform
• Security risks
• Requirements from financial or regulatory partners
• Other legitimate operational or compliance reasons

Where appropriate and legally permitted, FlowAfric may provide notice or an explanation regarding account restrictions.

Termination of an account does not automatically eliminate obligations or rights that arose before termination.

Where applicable, eligible remaining funds may be withdrawn or otherwise handled in accordance with applicable law, regulatory requirements, account restrictions, and any outstanding investigations or obligations.

13. Third-Party Services

FlowAfric relies on certain third-party providers and infrastructure partners to operate and support its services.

These may include providers of:

• Financial and payment infrastructure
• Identity verification
• Compliance and AML screening
• Cloud infrastructure
• Security services
• Communication infrastructure
• Blockchain infrastructure
• Analytics and technical services

Third-party services may be subject to their own terms, policies, availability, and technical limitations.

FlowAfric is not responsible for failures caused solely by third-party services or infrastructure outside FlowAfric's reasonable control.

14. Service Availability

FlowAfric aims to provide reliable and secure services but does not guarantee that the platform will always be available, uninterrupted, or error-free.

Services may be temporarily unavailable because of:

• Maintenance
• Network failures
• Banking or payment-provider outages
• Cloud or infrastructure failures
• Blockchain network issues
• Security incidents
• Regulatory requirements
• Events beyond FlowAfric's reasonable control

FlowAfric may modify, suspend, or discontinue a feature or service where reasonably necessary.

15. Limitation of Liability

To the extent permitted by applicable law, FlowAfric shall not be responsible for losses arising solely from circumstances outside its reasonable control, including:

• Internet or network failures
• Device failures
• Third-party provider outages
• Banking or payment infrastructure interruptions
• Blockchain network failures
• Unauthorized access caused by a user's failure to protect their credentials or device
• User errors, including incorrect transaction or wallet information
• Events beyond FlowAfric's reasonable control

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

16. Intellectual Property

The FlowAfric platform, software, designs, trademarks, branding, content, and other intellectual property belonging to FlowAfric or its licensors are protected by applicable intellectual property laws.

Except where expressly permitted, users may not copy, reproduce, modify, distribute, reverse engineer, sell, or commercially exploit FlowAfric's intellectual property without prior written permission.

Users retain ownership of content they lawfully submit to FlowAfric, subject to the rights and licenses necessary for FlowAfric to provide and operate its services.

17. Privacy and Data Protection

FlowAfric processes personal information in accordance with its Privacy Policy and applicable Nigerian data protection laws.

The Privacy Policy explains the categories of information FlowAfric may collect, how information may be used, third-party processing, retention, security measures, and applicable user rights.

By using FlowAfric, users acknowledge that their personal information may be processed as described in the Privacy Policy and as otherwise permitted or required by applicable law.

18. Electronic Communications

By using FlowAfric, users agree that FlowAfric may communicate with them electronically through:

• Email
• SMS or other notifications where applicable
• In-app notifications
• Push notifications
• Other electronic communication channels associated with their account

These communications may include transaction notifications, security alerts, service updates, verification requests, account notices, and other information necessary to operate the service.

19. Changes to These Terms

FlowAfric may update these Terms from time to time to reflect changes to its services, technology, business operations, legal requirements, or regulatory obligations.

Where appropriate, FlowAfric may provide notice of material changes through the platform or other reasonable communication channels.

The updated Terms will become effective on the date stated in the updated version unless otherwise required by law.

Continued use of FlowAfric after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

20. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Any dispute arising from or relating to these Terms or the use of FlowAfric shall be handled in accordance with applicable Nigerian law and any applicable dispute-resolution procedures communicated by FlowAfric.

Nothing in these Terms prevents a user from exercising rights or seeking remedies that cannot lawfully be waived under applicable law.
