Merchant Terms & Conditions
These Merchant Terms & Conditions govern access to and use of FlowAfric merchant services, including merchant accounts, FlowHub marketplace services, merchant payments, settlements, and eligible escrow functionality.
1. Merchant Eligibility
To become a FlowAfric merchant, you may be required to provide information and documentation including:
- Business or trading information
- Business registration information where applicable
- Merchant identity information
- TIN or other tax information where applicable
- Settlement account information
- Business address
- Information about products or services offered
- Compliance and verification documentation
FlowAfric may conduct identity, business, fraud, AML, sanctions, and other compliance checks before approving or continuing merchant access.
FlowAfric reserves the right to approve, reject, restrict, suspend, or terminate a merchant account in accordance with applicable law, these Merchant Terms, or its risk and compliance requirements.
2. Merchant Responsibilities
Merchants agree to:
- Provide accurate and current business information
- Provide accurate product and service descriptions
- Operate lawfully
- Honor stated prices and transaction terms
- Deliver products or services as represented
- Handle customers fairly and honestly
- Maintain appropriate records relating to their transactions
- Cooperate with FlowAfric during disputes, fraud reviews, and compliance investigations
- Comply with applicable tax, consumer protection, financial, and other laws
Merchants are responsible for their own products, services, employees, agents, suppliers, and business operations.
3. FlowHub Marketplace
FlowHub may allow merchants to list and promote eligible products and services for discovery and purchase by FlowAfric users.
FlowAfric may establish marketplace rules concerning:
- Product categories
- Listing requirements
- Pricing
- Merchant conduct
- Prohibited products or services
- Customer interactions
- Transaction processing
- Disputes
- Refunds
- Escrow
FlowAfric may remove listings or restrict marketplace functionality where a listing or merchant activity violates these Merchant Terms, platform policies, applicable law, or security and compliance requirements.
4. Prohibited Products and Activities
Merchants must not use FlowAfric or FlowHub to sell, promote, facilitate, or distribute:
- Illegal products or services
- Counterfeit or stolen goods
- Fraudulent products or services
- Products or services prohibited by applicable law
- Unlawful financial schemes
- Products or services that violate FlowAfric marketplace policies
- Any other prohibited goods or services communicated by FlowAfric
FlowAfric may remove prohibited listings and take appropriate action against merchants involved in prohibited activity.
5. Merchant Payments and Fees
Merchant transactions may be processed through FlowAfric and its financial or payment partners.
Applicable merchant fees will be displayed or communicated through the FlowAfric platform or applicable merchant documentation.
FlowAfric may deduct applicable fees from merchant transactions or settlement amounts.
Fees may change from time to time in accordance with applicable agreements and platform notices.
6. Settlement
Merchant settlements may be subject to:
- Transaction verification
- Applicable fees
- Transaction limits
- Banking or payment-provider availability
- Fraud and risk reviews
- Disputes
- Escrow conditions
- Regulatory requirements
FlowAfric may delay or temporarily hold settlement amounts where reasonably necessary to investigate:
- Suspicious activity
- Fraud
- Unauthorized transactions
- Customer disputes
- Chargebacks or reversals
- Escrow disputes
- Regulatory or compliance concerns
Where funds are held for a lawful review or investigation, FlowAfric may release them once the relevant review or condition has been completed, subject to applicable law.
7. Escrow Services
FlowAfric may provide escrow functionality for eligible transactions.
Where escrow is used:
- Buyer funds may be temporarily held pending satisfaction of applicable transaction conditions.
- Funds may be released after buyer confirmation, successful fulfillment, resolution of a dispute, expiry of an applicable escrow period, or another permitted release condition.
- Funds may remain temporarily held while a dispute, fraud review, compliance review, or other investigation is conducted.
FlowAfric may request supporting evidence including:
- Delivery information
- Receipts
- Screenshots
- Transaction records
- Communication records
- Product information
- Other relevant documentation
FlowAfric may make escrow or dispute decisions based on available evidence, platform policies, transaction information, fraud and security findings, compliance requirements, and applicable law.
8. Refunds and Disputes
Merchants are responsible for resolving legitimate customer issues relating to their products and services.
FlowAfric may investigate disputes involving:
- Failed transactions
- Unauthorized transactions
- Product or service disputes
- Delivery disputes
- Escrow disagreements
- Fraud claims
- Refund requests
- Other transaction-related complaints
Merchants agree to cooperate with investigations and provide requested information within reasonable timeframes.
Where FlowAfric is responsible for facilitating a transaction dispute, it may take appropriate action based on available evidence and applicable platform rules.
9. Merchant Records
Merchants should maintain appropriate records relating to transactions, customers, products, services, deliveries, refunds, and other business activities.
FlowAfric may request relevant records where reasonably necessary for:
- Dispute resolution
- Fraud investigations
- Compliance reviews
- Regulatory requirements
- Security investigations
10. Merchant Account Security
Merchants are responsible for protecting:
- Login credentials
- PINs
- Authentication methods
- Merchant devices
- Staff access
- API credentials where applicable
Merchants must promptly notify FlowAfric of suspected unauthorized access, fraud, or compromise.
Merchants are responsible for ensuring that their employees and authorized staff use merchant accounts appropriately.
11. Merchant Staff
Where FlowAfric provides merchant staff or role-management functionality, merchants are responsible for managing authorized staff access.
Merchants must:
- Grant access only to authorized personnel
- Maintain appropriate staff permissions
- Remove access when staff no longer require it
- Protect staff credentials
- Monitor staff activity appropriately
The merchant remains responsible for activity conducted through authorized merchant staff accounts, subject to applicable law.
12. Compliance and Monitoring
FlowAfric may monitor merchant activity for purposes including:
- Fraud prevention
- AML compliance
- Sanctions compliance
- Security
- Consumer protection
- Marketplace integrity
- Regulatory compliance
FlowAfric may request additional information or documentation when required.
Merchants must cooperate with lawful requests and compliance reviews.
13. Account Restriction, Suspension, and Termination
FlowAfric may restrict, suspend, or terminate merchant access where reasonably necessary because of:
- Fraud or suspected fraud
- Suspicious activity
- Excessive or abusive disputes
- Regulatory or compliance concerns
- False or misleading information
- Prohibited products or services
- Violation of these Merchant Terms
- Violation of FlowAfric policies
- Violation of applicable law
- Security concerns
Where appropriate and legally permitted, FlowAfric may provide notice or information regarding the restriction.
14. Merchant Responsibility for Products and Services
Merchants are solely responsible for:
- The legality of their products and services
- Product quality
- Product descriptions
- Pricing
- Availability
- Delivery and fulfillment
- Customer service
- Refunds where applicable
- Compliance with applicable laws
FlowAfric does not guarantee the quality, safety, legality, availability, or fulfillment of products or services supplied by independent merchants.
15. Taxes
Merchants are responsible for determining and complying with their applicable tax obligations, including registration, reporting, collection, and payment requirements.
FlowAfric may provide transaction records or information where required by applicable law or lawful regulatory requests.
16. Third-Party Services
Merchant services may depend on third-party providers, including financial institutions, payment infrastructure providers, cloud infrastructure providers, logistics providers, and other service providers.
Third-party services may be subject to their own terms, availability, and limitations.
FlowAfric is not responsible for failures caused solely by third-party services outside its reasonable control.
17. Limitation of Liability
To the extent permitted by applicable law, FlowAfric shall not be liable for losses arising solely from:
- Merchant delivery or fulfillment failures
- Product or service quality
- Customer disputes
- Merchant staff activity
- Unauthorized merchant activity resulting from merchant negligence
- Third-party service outages
- Banking or payment infrastructure interruptions
- Events outside FlowAfric's reasonable control
Nothing in these Merchant Terms excludes or limits liability that cannot lawfully be excluded or limited.
18. Relationship with Other FlowAfric Terms
These Merchant Terms supplement the FlowAfric Terms & Conditions and Privacy Policy.
If there is a conflict between these Merchant Terms and the general Terms & Conditions specifically concerning merchant services, these Merchant Terms will apply to the extent of that conflict.
19. Changes to These Merchant Terms
FlowAfric may update these Merchant Terms from time to time to reflect changes to merchant services, marketplace functionality, applicable laws, regulatory requirements, or business operations.
Where appropriate, FlowAfric may notify merchants of material changes through the platform or other reasonable communication channels.
Continued use of merchant services after the effective date of updated Merchant Terms constitutes acceptance of the revised terms, to the extent permitted by applicable law.
